Tottenham have reached an agreement for Ndiaye, subject to the player accepting personal terms.
Richarlison is expected to come the other way to the Toffees.
Fabrizio Romano is now reporting that the Blues are also in advanced talks to re-sign Grealish.
The Merseyside outfit are in ongoing negotiations with Man City over a loan deal for the England international.

Richarlison could be part of the transfer merry-go-round at Everton in the coming hours.
Roberto De Zerbi has admitted that the Brazil international has asked to leave Tottenham.
According to Sky Sports on 20 August, the Toffees want to sign Richarlison and are willing to make him an attractive offer.
It looks like the Merseyside outfit want to convince the 29-year-old to be a part of a possibly revamped attack at Hill Dickinson Stadium.
